These General Terms & Conditions (“Terms”) govern the use of the online marketplace platform 22studio.eu (the “Platform”), operated by Individual Entrepreneur HANNA MOSKALOVA (the “Platform Operator”), registered at Georgia, Tbilisi, Gldani District, Gldani Massif, IIIMicro/District, Building N80, Entrance 1, Floor 2,Apartment N4, Identification Number: 300410160, and contact email hello@22studio.eu
By accessing or using the Platform, you (“User,” “Buyer,” or “Creator”) agree to these Terms. If you do not agree, you must not use the Platform.
1. DEFINITIONS
• Platform Operator – Individual Entrepreneur HANNA MOSKALOVA, which operates and manages the Platform, facilitating the sale of handmade ceramic products by independent Creators. • Creator – An independent seller handmade ceramic items on the Platform. • Buyer – A person or entity purchasing items through the Platform. • Order – A purchase transaction completed through the Platform. • Payment Provider – Third-party services such as PayPal, which handle payment processing for transactions.
2. RESTRICTIONS ON USE
2.1. Users of the Platform agree to comply with all applicable laws and regulations. The Platform may only be used for lawful purposes.
2.2. Prohibited Activities: Users agree not to: • Provide false or misleading information, including fake orders, reviews, or payment details. • Copy, reproduce, modify, distribute, or commercially exploit any content from the Platform without prior written permission from the Platform Operator. • Engage in any activity that disrupts or interferes with the security or functionality of the Platform, including hacking, phishing, or injecting malicious software. • Use the Platform to infringe upon the intellectual property rights of the Platform Operator, Creators, or third parties. • Violate any other provision set forth in these Terms.
2.3. The Platform Operator reserves the right to suspend or terminate any User’s access to the Platform if they engage in any prohibited activities.
3. INTELLECTUAL PROPERTY
3.1. The Platform and its contents, including but not limited to text, images, graphics, logos, and software, are the intellectual property of the Platform Operator or are used with permission from their respective owners. These materials may not be copied, reproduced, distributed, or modified without prior written authorization.
3.2. Any unauthorized use of the Platform’s content or that of its Creators may result in legal action.
4. SCOPE OF THE PLATFORM
4.1. The Platform is a marketplace that connects Creators with Buyers for the sale of handmade ceramic items. The Platform Operator does not manufacture, store, or ship any items directly.
4.2. The Platform Operator is not a party to the contract between the Buyer and the Creator but facilitates transactions, payments, and, where applicable, delivery arrangements.
4.3. The Creator is solely responsible for the accuracy of product descriptions, product availability, and compliance with applicable laws.
5. ORDERING PROCESS
5.1. Buyers select items, add them to the cart, and complete the purchase through the checkout process.
5.2. Orders are confirmed via email after payment is successfully processed. The Buyer receives a receipt as confirmation of the order from Platform and a separate invoice directly from the Creator. This invoice will include details about the product, VAT (if applicable), and will serve as the official legal document for your purchase.
5.3. The Creator is notified of the Order and must confirm availability and prepare the item for shipping.
5.4. If an item is made-to-order, the Creator will indicate the estimated production time in the product listing.
6. PAYMENT
6.1. Payments are processed via PayPal or other third-party payment providers.
6.2. The Buyer pays the full price at checkout, which includes: • The product price set by the Creator. • Any applicable taxes. • Shipping fees, if applicable.
7. SHIPPING & DELIVERY
7.1. The Buyer is responsible for providing an accurate shipping address. The Platform Operator is not liable for non-delivery due to incorrect details provided by the Buyer.
7.2. Shipping Methods: • The Creator may handle shipping independently via their chosen provider. • Alternatively, the Creator may opt for the Platform Operator to arrange delivery via its logistics contractor.
7.3. Delivery times depend on the Creator’s location, the Buyer’s location, and shipping service availability. The Platform Operator does not guarantee specific delivery dates.
7.4. If an item is lost or damaged in transit: • If shipped by the Creator, they are responsible for resolving the issue with their logistics provider. • If shipped by the Platform Operator, insurance claims will be processed through the designated shipping provider.
8. RETURNS & REFUNDS
8.1. Buyers may request a return within 14 days of receiving the item, in accordance with EU Consumer Rights Directive, unless the item was made-to-order, in which case it is non-refundable unless defective.
8.2. The return process: • The Buyer must contact the Platform Operator for return authorization. • The item must be returned in its original condition and packaging. • The Buyer is responsible for return shipping costs unless the item was incorrect or defective.
8.3. Once the returned item is received and inspected, the refund will be processed within 7 business days via the original payment method.
8.4. If an item arrives damaged, the Buyer must provide photographic proof within 48 hours of delivery to be eligible for a replacement or refund.
9. THIRD-PARTY SERVICE AND PAYMENT PROVIDERS
9.1. Payments for Orders are processed through third-party payment providers such as PayPal. The Platform Operator does not store or process payment information directly.
9.2. By making a purchase, the Buyer agrees to the terms and conditions of the payment provider. The Platform Operator is not responsible for any errors, delays, or security breaches caused by third-party payment services.
9.3. Refunds and chargebacks are subject to the policies of the payment provider and may take additional time to process depending on their terms.
9.4. The Platform Operator is not responsible for failed transactions due to technical issues on the part of the payment provider or the User’s financial institution.
10. FORCE MAJEURE
10.1. The Platform Operator shall not be held liable for any delay, failure to perform, or disruption in services due to circumstances beyond its reasonable control. This includes but is not limited to: • Natural disasters (earthquakes, floods, hurricanes, wildfires, etc.). • War, terrorism, riots, or civil unrest. • Government actions, sanctions, embargoes, or legal restrictions affecting the Platform’s operation. • Strikes, labor disputes, or shutdowns affecting supply chains or deliveries. • Technical failures, cyberattacks, or interruptions in internet service that prevent access to the Platform.
10.2. In case of a force majeure event, the affected party must notify the other party as soon as reasonably possible.
10.3. If a force majeure event continues for more than 30 days, the Platform Operator reserves the right to modify or suspend its obligations under these Terms without liability.
11. LIABILITY & DISCLAIMERS
11.1. The Platform Operator acts solely as an intermediary and is not liable for: • The quality, safety, legality, or compliance of the items sold by Creators. • Any delays or damages caused by third-party shipping providers.
11.2. The Creator is responsible for ensuring their products comply with all applicable laws, including safety and consumer protection regulations.
11.3. The Platform Operator is not liable for any indirect, incidental, or consequential damages resulting from the use of the Platform.
12. DATA PRIVACY & COOKIES
8.1. The Platform collects and processes personal data in accordance with GDPR. Details on data collection, usage, and storage are available in the Privacy Policy.
8.2. The Platform uses cookies to enhance user experience. Users can manage their cookie preferences through the Cookie Policy.
10. GOVERNING LAW & DISPUTE RESOLUTION
10.1. These Terms are governed by the laws of Georgia.
10.2. Negotiation First: In the event of any dispute between the Platform Operator, Buyer, or Creator, the parties agree to first attempt to resolve the matter through direct communication.
10.3. Mediation: If no resolution is reached within 30 days, the parties agree to seek mediation through an independent third party before resorting to legal action.
10.4. Exception for EU Consumers: If the Buyer is a resident of the European Union, they may have the right to resolve disputes through the Online Dispute Resolution (ODR) platform, as per EU Regulation 524/2013.
11. CHANGES TO THESE TERMS
11.1. The Platform Operator may update these Terms from time to time. The latest version will always be available on the Platform. Continued use of the Platform constitutes acceptance of the updated Terms.
